These Terms and Conditions ("Terms") govern your access to and use of Mimicall (the "Service"), operated by AEGONTECH LLC ("we," "us," or "our"), a Delaware limited liability company. By creating an account, accessing, or using the Service in any manner, you ("you" or "User") agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Service. If you do not agree, do not use the Service.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 18) THAT AFFECT YOUR LEGAL RIGHTS.

1. Description of Service

Mimicall is an AI-powered platform that allows users to create custom AI personas and receive phone calls from those personas on their verified phone numbers. The Service includes persona creation, voice selection, voice cloning, call scheduling, credit-based billing, and related features. The Service relies on third-party infrastructure providers for voice synthesis, telephony, payments, and hosting, and its availability is subject to the availability of those third-party services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding legal agreement to use the Service. By using Mimicall, you represent and warrant that you meet these requirements. The Service is not intended for and may not be used by anyone under the age of 18. If you are accessing the Service on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account, whether or not authorized by you.
• You must provide accurate and complete information when creating your account and keep it up to date.
• You may not create multiple accounts, share account credentials, or transfer your account to another person.
• You must notify us immediately at support@mimicall.app if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Credits and Payments

• Mimicall uses a credit-based system. Credits are required to place AI phone calls.
• Credits are purchased through the Service via Stripe. All prices are in US Dollars.
• Credits are non-transferable, non-exchangeable, and have no cash or monetary value.
• Credits do not expire as long as your account remains active.
• We reserve the right to change credit pricing at any time with reasonable notice. Existing purchased credits are not affected by price changes.
• You are responsible for all applicable taxes associated with your purchases.
• Failed or incomplete calls due to technical issues on our end may be eligible for credit reimbursement at our sole discretion.

5. Refund Policy

Due to the nature of the Service, all credit purchases are final and non-refundable. Refunds may be considered on a case-by-case basis at our sole discretion in the event of a verified technical error that prevented the Service from being delivered as described. To request a refund, contact support@mimicall.app within 7 days of the transaction with your transaction ID and a description of the issue. Chargebacks or payment disputes initiated without first contacting us may result in immediate account suspension.

6. Acceptable Use

You agree not to use the Service to:

• Harass, threaten, stalk, bully, or intimidate any person
• Impersonate a real individual with intent to deceive, defraud, or mislead
• Clone, reproduce, or simulate the voice or likeness of any celebrity, public figure, politician, or any living or deceased individual without their explicit written consent (or, for deceased individuals, the consent of their authorized estate representative)
• Create deepfakes, non-consensual synthetic media, or content that could reasonably be mistaken for a real person without disclosure
• Place calls to numbers you do not own or have authorization to receive calls on
• Generate content that is illegal, harmful, abusive, defamatory, obscene, or violates the rights of others
• Use the Service to make threats of violence, self-harm, or harm to others, or to simulate emergency calls
• Attempt to bypass phone number verification, rate limiting, or any security measures
• Use the Service for telemarketing, robocalling, spam, or any commercial solicitation
• Resell, sublicense, or commercially redistribute the Service or access to it without our written consent
• Use automated scripts, bots, or other programmatic means to access the Service except through officially provided APIs
• Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Service
• Interfere with or disrupt the Service, its infrastructure, or other users' use of the Service
• Use the Service in violation of any applicable local, state, national, or international law or regulation

We reserve the right to suspend or terminate your account without notice and without refund if we determine, in our sole discretion, that you have violated these acceptable use terms. We may also report violations to law enforcement authorities where appropriate.

7. AI-Generated Content & Disclaimers

The phone calls you receive through Mimicall are generated by artificial intelligence. AI personas are fictional characters created by you and do not represent real people unless explicitly configured by you. You acknowledge and agree to the following:

• AI-generated speech may be inaccurate, incomplete, misleading, biased, or inappropriate. We do not guarantee the quality, accuracy, or suitability of any AI-generated content.
• AI responses are generated algorithmically and may occasionally produce unexpected, offensive, or factually incorrect results. We are not responsible for the content of AI-generated speech.
• The Service does not provide and is not a substitute for professional advice of any kind, including but not limited to medical, legal, financial, psychological, or therapeutic advice. You should not rely on AI-generated content for making important life decisions.
• AI personas do not have consciousness, feelings, or genuine understanding. Any appearance of empathy, emotion, or personal connection is simulated and should not be interpreted as a real relationship.

Emotional & Psychological Wellbeing

Certain features of the Service, including but not limited to voice cloning of deceased loved ones ("Cherished Voices") and AI companion calls, may evoke strong emotional responses. You acknowledge and agree that:

• The Service is designed for entertainment and personal enrichment purposes only. It is not a substitute for grief counseling, therapy, mental health treatment, or human companionship.
• We strongly recommend that users experiencing grief, loneliness, or emotional distress seek support from qualified mental health professionals.
• AEGONTECH LLC is not liable for any emotional distress, psychological impact, dependency, or other adverse effects arising from your use of the Service, including interactions with AI personas.
• You use emotion-sensitive features entirely at your own risk and discretion.

8. Phone Number Verification

Mimicall only places calls to phone numbers that have been verified by you through our OTP verification process. You represent and warrant that you are the owner or authorized user of any phone number you add to the Service. Placing calls to unverified or unauthorized numbers is strictly prohibited. You agree not to add phone numbers belonging to other individuals without their explicit consent. Violation of this provision may result in immediate account termination and may be reported to law enforcement.

9. Voice Cloning

If you use the voice cloning feature, you represent and warrant that you have obtained all necessary consents from any individual whose voice you submit for cloning, including any consents required by applicable right-of-publicity, personality rights, or biometric data laws (including but not limited to state biometric privacy laws such as Illinois BIPA, Texas CUBI, and Washington state law). You are solely responsible for ensuring that your use of cloned voices complies with all applicable laws and regulations. We reserve the right to remove cloned voices that we believe violate these Terms or any applicable law.

Voice cloning of celebrities, public figures, politicians, media personalities, or any other recognizable individuals is strictly prohibited unless you provide verifiable written consent from the individual (or their authorized estate representative for deceased individuals). This prohibition applies regardless of the intended use — including parody, satire, or personal entertainment.

AEGONTECH LLC does not pre-screen or monitor the voices submitted for cloning and bears no responsibility for unauthorized voice cloning conducted by users. You acknowledge that you are solely and fully liable for any claims, lawsuits, damages, or legal consequences arising from your use of the voice cloning feature, including but not limited to claims of right of publicity violations, intellectual property infringement, defamation, or fraud. You agree to indemnify and hold harmless AEGONTECH LLC from any such claims as outlined in Section 17.

10. Call Recording & Telecommunications Compliance

AI persona calls may be recorded, logged, or monitored for quality assurance, safety, abuse prevention, and service improvement purposes. By using the Service, you consent to such recording and monitoring. You acknowledge that call metadata (duration, timestamps, phone numbers) is retained as described in our Privacy Policy.

You acknowledge that the Service uses automated telephone dialing and artificial or prerecorded voice technology. By verifying your phone number and initiating or scheduling calls through the Service, you provide your express prior consent to receive such calls at the phone number(s) you provide, in accordance with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and applicable state telemarketing and robocall laws. You may revoke this consent at any time by removing your phone number from the Service or contacting us.

Mimicall calls are intended only for the verified account holder. You are solely responsible for ensuring that receiving AI-generated calls at your phone number does not violate any applicable telecommunications laws in your jurisdiction.

11. Intellectual Property

The Service, including its design, features, code, branding, logos, trademarks, and documentation, is owned by AEGONTECH LLC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

You retain ownership of the persona configurations, prompts, and text content you create within the Service ("User Content"). By using the Service, you grant AEGONTECH LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, store, and display your User Content solely for the purposes of providing, maintaining, and improving the Service. This license terminates when you delete your User Content or your account, except to the extent that copies are required for backup, archival, or legal compliance purposes.

We may use anonymized, aggregated data derived from your use of the Service (which cannot be used to identify you) for analytics, research, and service improvement. This does not include your voice samples or persona content.

12. Copyright Infringement & DMCA Takedown

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work, voice, likeness, or other intellectual property has been used on the Service in a way that constitutes infringement, you may submit a takedown notice to our designated agent:

Your notice must include: (a) identification of the copyrighted work or intellectual property claimed to have been infringed; (b) identification of the material on the Service that is alleged to be infringing; (c) your contact information; (d) a statement that you have a good faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rights holder; and (f) your physical or electronic signature.

We will respond to valid takedown notices in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) and may remove or disable access to the allegedly infringing material. Repeat infringers may have their accounts terminated.

13. Third-Party Services

The Service relies on third-party providers for voice synthesis, telephony, payment processing, cloud infrastructure, and other functionality. These third-party services are governed by their own terms of service and privacy policies. We do not control and are not responsible for the availability, accuracy, or conduct of any third-party service.

You acknowledge that: (a) the Service may be temporarily unavailable due to outages, maintenance, or failures of third-party providers; (b) call quality, voice fidelity, and delivery reliability depend on third-party telephony and AI infrastructure; (c) payment processing is handled by Stripe, and any payment disputes are subject to Stripe's terms; and (d) we are not liable for any damages, losses, or inconvenience arising from third-party service interruptions or failures.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, VOICE SYNTHESIS, OR CALL DELIVERY. WE DO NOT GUARANTEE ANY SPECIFIC UPTIME, CALL COMPLETION RATE, OR SERVICE LEVEL.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGONTECH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM:

• YOUR USE OF OR INABILITY TO USE THE SERVICE;
• ANY AI-GENERATED CONTENT, INCLUDING CONTENT THAT IS INACCURATE, OFFENSIVE, OR HARMFUL;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR ACCOUNT;
• EMOTIONAL DISTRESS, PSYCHOLOGICAL IMPACT, OR ADVERSE REACTIONS ARISING FROM AI INTERACTIONS, INCLUDING BUT NOT LIMITED TO THE CHERISHED VOICES OR COMPANION CALL FEATURES;
• THIRD-PARTY SERVICE FAILURES, OUTAGES, OR INTERRUPTIONS;
• ANY CLAIMS BY THIRD PARTIES ARISING FROM YOUR USE OF THE VOICE CLONING FEATURE;
• ANY OTHER MATTER RELATING TO THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

16. Assumption of Risk

You acknowledge that the Service involves AI-generated voice interactions and voluntarily assume all risks associated with your use of the Service. These risks include, but are not limited to: exposure to AI-generated content that may be inaccurate, offensive, or emotionally distressing; potential emotional dependency on AI personas; potential misuse of voice cloning technology; and reliance on AI-generated content for personal decisions. You agree that AEGONTECH LLC is not responsible for managing or mitigating these risks on your behalf.

17. Indemnification

You agree to indemnify, defend, and hold harmless AEGONTECH LLC, its officers, directors, employees, affiliates, agents, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, publicity, or privacy rights; (d) your use of the voice cloning feature, including any claims that a cloned voice infringes upon the rights of any individual; (e) any content or persona configurations you create through the Service; (f) any calls placed using the Service; or (g) your violation of any applicable law or regulation. This indemnification obligation survives the termination of these Terms and your use of the Service.

19. Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice. Upon termination: (a) your right to use the Service ceases immediately; (b) any unused credits in your account are forfeited unless the termination was due to our error; (c) we may delete your User Content, persona configurations, and voice clones after a reasonable retention period (typically 30 days), unless retention is required by law; and (d) the provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 9, 11, 14, 15, 16, 17, 18, 20, and 21.

You may terminate your account at any time by contacting us. Voluntary termination does not entitle you to a refund of unused credits.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted (where arbitration does not apply), any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

If you access the Service from outside the United States, you do so at your own risk and are solely responsible for compliance with local laws. The Service is operated from the United States, and your data may be transferred to and processed in the United States regardless of your country of residence.

21. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AEGONTECH LLC regarding the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by AEGONTECH LLC.

Force Majeure

AEGONTECH LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, wars, terrorism, government actions, power outages, internet or telecommunications failures, third-party service provider outages, cyberattacks, or labor disputes.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. AEGONTECH LLC may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Feedback

If you provide us with feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant AEGONTECH LLC an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation or compensation to you.

Notices

We may send you notices via email to the address associated with your account, in-app notifications, or by posting on the Service. Notices sent by email are deemed received on the date sent. It is your responsibility to keep your email address current.

22. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide notice by posting the updated Terms on this page, updating the "Last updated" date, and when feasible, sending an email notification to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.
